1. Agreement to Terms

Welcome to Learnexira Center ("Company," "we," "our," "us"). These Terms of Service ("Terms") govern your access to and use of our website, educational programs, training services, corporate learning solutions, and all related services (collectively, the "Services") offered by Learnexira Center, located at 2003 Corporate Dr, Richmond, KY 40475.

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services. These Terms constitute a legally binding agreement between you and Learnexira Center.

We reserve the right to update, modify, or replace any part of these Terms at our sole discretion. It is your responsibility to review these Terms periodically for changes. Your continued use of or access to the Services following the posting of any changes constitutes acceptance of those changes.

2. Description of Services

Learnexira Center provides professional education, training, and development services including but not limited to:

• Digital skills training programs designed to build technical fluency across organizations
• Management development programs for mid-level and senior professionals
• Leadership training and executive development intensive programs
• Corporate learning solutions and organizational capability architecture
• Custom training program design, deployment, and implementation consulting
• Team-based cohort learning experiences and group facilitation
• Assessment, evaluation, and competency mapping services
• Post-program support, reinforcement modules, and performance tracking

Our Services are designed for professionals, teams, and organizations seeking structured, high-quality learning experiences. The specific content, format, duration, and delivery method of each program may vary and will be outlined in the relevant program description or service agreement.

3. Eligibility and Registration

To use our Services, you must be at least 18 years of age and possess the legal authority to enter into a binding agreement. By registering for any of our programs or services, you represent and warrant that all information you provide during registration is accurate, current, and complete.

For corporate clients, the individual registering on behalf of an organization represents and warrants that they have the necessary authority to bind the organization to these Terms. Corporate accounts and program enrollments may be subject to additional terms outlined in a separate corporate services agreement.

We reserve the right to refuse service, terminate accounts, or cancel enrollments at our sole discretion, including if we believe that your conduct violates these Terms, is harmful to other participants, or is harmful to our business interests.

4. Program Enrollment and Participation

4.1 Enrollment Process

Enrollment in our programs may require completion of an application, assessment, or consultation process. Acceptance into a program is at the sole discretion of Learnexira Center based on factors including but not limited to: program capacity, participant qualifications, organizational fit, and program prerequisites.

4.2 Participation Requirements

Participants are expected to attend all scheduled sessions, complete assigned materials and exercises, participate actively in group discussions and collaborative activities, and adhere to all program guidelines and codes of conduct. Failure to meet these requirements may result in removal from the program without a refund.

4.3 Code of Conduct

All participants must maintain professional and respectful behavior toward instructors, facilitators, and fellow participants. Harassment, discrimination, disruptive behavior, or any conduct that interferes with the learning experience of others is strictly prohibited and may result in immediate removal from the program.

5. Payment and Pricing

All fees for our Services are as quoted at the time of enrollment or as specified in the applicable service agreement. Prices are subject to change without notice, though changes will not affect enrollments already confirmed with payment.

Payment is due in accordance with the payment schedule provided at the time of enrollment. For corporate clients, payment terms may be outlined in a separate agreement. We accept major credit cards, bank transfers, and other payment methods as specified during the checkout process.

Failure to make timely payments may result in suspension or cancellation of access to our Services. In the event of non-payment, we reserve the right to pursue all available legal remedies to recover outstanding amounts, including reasonable collection costs and attorneys' fees.

6. Intellectual Property Rights

All content, materials, curriculum, methodologies, frameworks, training architectures, assessments, slides, workbooks, handouts, recordings, and any other materials provided as part of our Services ("Program Materials") are the exclusive intellectual property of Learnexira Center and are protected by applicable copyright, trademark, and other intellectual property laws.

Participants are granted a limited, non-exclusive, non-transferable, revocable license to access and use Program Materials solely for personal professional development purposes. You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any Program Materials without our prior written consent.

Recording of live sessions, whether audio or video, is strictly prohibited unless explicitly authorized in writing by Learnexira Center. Any unauthorized recording or distribution of Program Materials may result in legal action and immediate termination of your access to all Services.

7. Confidentiality

During the course of our programs and services, participants and corporate clients may have access to confidential information belonging to Learnexira Center, other participants, or corporate clients. All parties agree to maintain the confidentiality of such information and not to disclose, distribute, or use confidential information for any purpose other than participation in the relevant program or service.

This confidentiality obligation extends to but is not limited to: proprietary training methodologies, business strategies discussed during executive programs, participant assessments and evaluations, case study details, and any information explicitly designated as confidential.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Learnexira Center shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of our Services.

Our total aggregate liability to you for all claims arising out of or related to these Terms or our Services shall not exceed the total amount paid by you for the specific program or service giving rise to the claim during the twelve (12) months preceding the event giving rise to the liability.

Learnexira Center does not guarantee specific outcomes, career advancement, salary increases, or business results from participation in our programs. While our programs are designed to build capabilities and improve professional performance, individual results may vary based on numerous factors beyond our control.

9. Disclaimer of Warranties

Our Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that our Services will be uninterrupted, timely, secure, or error-free, that the results obtained from the use of the Services will be accurate or reliable, or that the quality of any information obtained through our Services will meet your expectations.

10. Indemnification

You agree to indemnify, defend, and hold harmless Learnexira Center, its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

11. Force Majeure

Learnexira Center shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, pandemics, government actions, acts of terrorism, civil unrest, infrastructure failures, power outages, internet service disruptions, or any other event that could not have been reasonably foreseen or prevented.

In such events, we will make reasonable efforts to notify affected participants promptly and to reschedule or provide alternative arrangements where feasible.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Kentucky, United States of America, without regard to its conflict of law provisions. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Madison County, Kentucky.

Before initiating any formal legal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of thirty (30) days following written notice of the dispute. If the dispute cannot be resolved through negotiation, either party may pursue mediation before initiating litigation.

13. Modifications to Services

Learnexira Center reserves the right to modify, suspend, or discontinue any aspect of our Services at any time, including but not limited to: program content, schedules, instructors, delivery formats, and pricing. We will make reasonable efforts to notify enrolled participants of material changes to programs in which they are currently participating.

14. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the original intent of the provision.

15. Entire Agreement

These Terms, together with any applicable service agreements and program-specific terms, constitute the entire agreement between you and Learnexira Center regarding the use of our Services. These Terms supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.
